Vancouver, BC - May 22nd 2006 - CAI Capital Partners and Co. III, L.P., together with its related entities ("CAI"), today announced that it has completed the purchase, in partnership with British Columbia Investment Management Corp. ("bcIMC"), of a majority interest in Terasen Water and Utility Services ("TWUS") from Terasen Inc., a wholly-owned subsidiary of Kinder Morgan, Inc., for an undisclosed price. Kinder Morgan unit closes sale of Terasen Water

Kinder Morgan Inc. on Monday said its Terasen Inc. subsidiary has completed the sale of Terasen Water and Utility Services and its affiliated companies to a consortium for $124 million in Canadian dollars.

Terasen Water and Utility provides water, wastewater and utility services primarily in western Canada. CAI Capital Management Co., which includes the management team of Terasen Water and Utility, is leading the group that made the purchase.

The sale does not include CustomerWorks LP, a joint venture owned 30 percent by KMI and 70 percent by Enbridge Inc.

Houston-based Kinder Morgan (NYSE: KMI) will use proceeds from the sale to pay down debt.
